Terms of Service

These Terms of Service (“Terms”) govern your use of CouponMesh, operated by Orange Forge LLC (“CouponMesh,” “we,” “us”). By creating an account or using the service, you agree to these Terms.

1. The service

CouponMesh is a two-sided marketplace that connects ecommerce brands with creators through reusable coupon codes. We facilitate discovery, code issuance, conversion tracking, and commission payouts. We are not a party to the underlying agreements between a brand and a creator.

2. Eligibility

You must be at least 18 years old and, if you act on behalf of a business, have authority to bind that business to these Terms.

3. Accounts

You agree to provide accurate information, keep your credentials secure, and remain responsible for activity under your account, including any teammates you invite.

4. Creator obligations

• Comply with applicable advertising laws, including the FTC’s endorsement guidelines — clearly disclose paid or incentivized promotions.
• Provide accurate audience information and do not artificially inflate metrics.
• Do not generate fraudulent clicks, conversions, or self-purchases to earn commissions.

5. Brand obligations

• Honor the commission terms you publish on an offer.
• Pay platform invoices when due (typically NET-7).
• Keep offers, discounts, and product information accurate and lawful.

6. Coupon codes, attribution & commissions

Codes issued through CouponMesh are tracked to attribute conversions to the right creator. Commissions accrue according to each offer’s published terms. Orders that are later refunded or canceled will have their associated commissions reversed.

7. Payments and payouts

Payments and payouts are processed by Stripe, subject to Stripe’s terms. CouponMesh may charge a platform fee, disclosed in-product. Payouts may be subject to a holdback period. You are responsible for any taxes on your earnings.

8. Prohibited conduct

You may not engage in fraud, scrape or reverse-engineer the service, circumvent attribution or payment controls, infringe intellectual property, or harass other users.

9. Intellectual property

Each party retains ownership of its own brand, content, and marks. You grant the limited licenses necessary for CouponMesh to display your profile and run campaigns.

10. Disclaimers

The service is provided “as is” without warranties of any kind. We do not guarantee any particular level of sales, earnings, or campaign results.

11. Limitation of liability

To the maximum extent permitted by law, CouponMesh will not be liable for indirect, incidental, or consequential damages, and our total liability is limited to the fees you paid us in the twelve months preceding the claim.

12. Termination

You may close your account at any time. We may suspend or terminate access for violations of these Terms. Certain provisions survive termination, including payment obligations.

13. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of- laws rules. Disputes will be resolved in the state or federal courts located in Florida.

14. Changes to these Terms

We may update these Terms from time to time. Continued use after changes take effect constitutes acceptance of the updated Terms.
